Terms of Use

1 Scope

These Terms of Use ("Terms") govern the use of the ONDIVAN platform ("Ondivan" or the "Platform") and apply to all services and activities provided to Clients through the Platform.

Ondivan is owned, operated, and managed by Inês Cristina Miranda Mata Cunha da Silva.

2 Our Services

Ondivan is an online platform that connects Clients with Psychologists, making it easier to schedule and manage online psychological care.

In addition, the Platform provides psychologists with tools to manage their online practice, including appointment scheduling and rescheduling, clinical records, and access to financial information related to their services.

3 Eligibility

To use the Platform as a Client, you must be at least 18 years old.

Individuals under the age of 18 may only use the Platform with the consent and participation of their parent or legal guardian, in accordance with applicable laws.

4 Acceptance of These Terms

By creating an account or using Ondivan, both Clients and Psychologists acknowledge and agree that they:

  • Have read and accepted these Terms of Use and the Privacy Policy.
  • Consent to the collection and processing of information necessary for account management, access to the Platform, and ongoing improvements to our services.
  • Agree to comply with these Terms by selecting the acceptance checkbox during registration.

5 Violation of These Terms

If a Client or Psychologist violates any provision of these Terms, Ondivan reserves the right to suspend or permanently terminate the user's account and access to the Platform without prior notice.

6 Changes to These Terms

Ondivan may update these Terms of Use at any time.

Whenever significant changes are made, users will be notified through the Platform or by email. Continued use of the Platform after such updates constitutes acceptance of the revised Terms.

7 Using the Platform

After creating an account and accepting these Terms of Use and the Privacy Policy, Clients may browse psychologists by specialty, contact professionals through the Platform, and request appointments based on mutually available dates and times.

7.1. Booking Services
If both the Client and the Psychologist agree to move forward after their initial contact, the appointment will be booked through the Ondivan Platform.

7.2. Payments
Payments are processed securely through Stripe, which is responsible for handling payment information and issuing invoices or payment receipts, when applicable.

7.3. Reviews
After a session, Clients may rate their experience with the Psychologist by leaving a review and assigning a score from 1 to 5 stars.

8 Registration Information

To access Ondivan's services, Clients and Psychologists must provide accurate and complete information during the registration process.

8.1. Accuracy of Information
Ondivan reserves the right, at its sole discretion, to reject new registrations or suspend or cancel existing accounts if inaccurate, misleading, fraudulent, or incomplete information is identified, or if there is evidence of an attempt to circumvent these Terms.
Accounts may also be suspended or terminated if a Client or Psychologist fails to comply with any obligation established in these Terms of Use.

9 Account Responsibility

Each Ondivan account is personal and non-transferable.

Clients and Psychologists are responsible for maintaining the confidentiality of their login credentials and must notify Ondivan immediately of any unauthorized use of their account.

Ondivan is not responsible for any loss or damage resulting from unauthorized access caused by the user's failure to protect their login credentials.

9.1. User Responsibilities
Clients and Psychologists agree to:

  • Protect their login credentials and personal information whenever accessing the internet.
  • Take reasonable precautions to prevent fraud, unauthorized access, and other security risks.
  • Use the Platform responsibly and in accordance with its intended purpose.
  • Comply with all provisions of these Terms of Use.

10 User Obligations

Clients and Psychologists agree to use the Platform only for its intended purpose and in accordance with these Terms of Use and all applicable laws.

Clients further agree that they will:

  • Not use the Platform in any way that interferes with or disrupts its availability for other users.
  • Not use the Platform for any unlawful or prohibited purpose.
  • Authorize Ondivan to send communications by email, telephone, SMS, WhatsApp, or other messaging services, including service-related updates and, where permitted by law, promotional communications.
  • Act honestly, respectfully, and in good faith while using the Platform.

Psychologists further acknowledge and agree to comply with all applicable laws, regulations, court orders, professional standards, ethical guidelines, and disciplinary rules established by the Psychology Council or regulatory authority with which they are registered.

11 Platform Responsibilities

Ondivan is responsible for:

  • Providing access to the Ondivan Care Guide for questions that are not addressed in these Terms of Use or the Frequently Asked Questions (FAQ).
  • Maintaining and continuously improving the Platform, whenever reasonably possible, to enhance its functionality, security, and compatibility with new technologies.
  • Protecting the confidentiality of Clients' personal information in accordance with applicable data protection laws.
  • Providing reasonable support to Clients and Psychologists regarding the use of the Platform.

12 User Representations

By accepting these Terms and using the Platform, Clients and Psychologists represent and warrant that the information provided during registration is true, accurate, and complete.

Users acknowledge that providing false, misleading, or fraudulent information may result in the suspension or termination of their account and may also have legal consequences under applicable law.

13 Restrictions on Use

Users may not, without Ondivan's prior written authorization:

  • Access or attempt to access the Platform's source code, databases, or other restricted systems.
  • Reverse engineer, decompile, disassemble, translate, modify, reproduce, copy, distribute, publish, sublicense, lease, rent, lend, or otherwise exploit any part of the Platform.
  • Use the Platform or its content to create competing products or services.
  • Incorporate any information or content from the Platform into another website, directory, application, database, or service.

Any unauthorized use of the Platform may result in legal action and the user's obligation to compensate Ondivan for any damages arising from such conduct.

14 Professional Fees

Each Psychologist is responsible for setting their own consultation fees.

Fees are subject to the service commission charged by Ondivan for providing and maintaining the Platform.

15 Platform Availability

The Platform is provided on an "as is" and "as available" basis.

While Ondivan strives to provide a reliable service, we do not guarantee that the Platform will always be available, uninterrupted, error-free, or free from technical issues.

To the fullest extent permitted by applicable law, Ondivan disclaims any implied warranties, including warranties of merchantability, fitness for a particular purpose, and financial results arising from the use of the Platform.

Users acknowledge and agree that their use of the Platform is at their own risk.

16 Limitation of Responsibility

Ondivan shall not be liable for any loss, damage, or inconvenience resulting from:

  • Incorrect, incomplete, or outdated information provided by a Client or Psychologist.
  • Fraudulent conduct, misrepresentation, or violation of these Terms by any user.
  • Internet outages, connectivity issues, or interruptions beyond Ondivan's reasonable control.
  • Failures or delays caused by third-party systems or service providers.
  • Actions taken by Clients or Psychologists while using the Platform, including decisions made based on information available through the Platform.

17 Third-Party Rights

Ondivan shall not be responsible for any infringement of third-party rights resulting from the actions or conduct of Clients or Psychologists while using the Platform.

18 Limitation of Liability

To the fullest extent permitted by applicable law, Ondivan shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including personal injury, property damage, lost profits, or any other losses arising from or related to the use of the Platform, including those resulting from the actions or omissions of third parties.

19 Indemnification

Clients and Psychologists agree to defend, indemnify, and hold harmless Ondivan, its owners, directors, officers, employees, contractors, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of:

  • Their use of the Platform.
  • Their violation of these Terms of Use or any other Ondivan policies.
  • Their violation of any applicable law or the rights of any third party.

20 Account Deactivation, Questions, and Support

If you wish to deactivate your account, have questions about these Terms of Use, or need additional information about the Platform, you may contact the Ondivan team by email at contacto@ondivan.com or through the contact form available on the Platform.

21 Prohibited Conduct and Account Suspension

To maintain a safe, respectful, and trustworthy environment, Ondivan does not permit any unlawful conduct or behavior that is inconsistent with the purpose of the Platform.

A Client's or Psychologist's account may be suspended or permanently deactivated if they engage in any of the following:

  • Promoting violence, hate speech, harassment, or discrimination based on race, ethnicity, gender, religion, nationality, sexual orientation, disability, or any other protected characteristic.
  • Using the Platform to promote political campaigns, political activities, or partisan content.
  • Infringing the intellectual property rights of others, including the unauthorized use of copyrighted materials, trademarks, images, audio, video, text, or other protected content.

22 Continuous Improvement

Users acknowledge that all software platforms and digital services are continuously evolving.

Accordingly, Ondivan may update, improve, modify, or enhance its features, functionality, and services from time to time. Such updates are part of the normal operation of the Platform and shall not, by themselves, be considered defects or service failures.

23 System Maintenance and Technical Issues

Ondivan will make reasonable efforts to correct technical issues and restore normal operation as quickly as possible whenever maintenance or unexpected interruptions occur.

However, Ondivan does not guarantee that the Platform, its servers, databases, software, or website will always operate without errors, interruptions, or temporary unavailability.

24 Intellectual Property

The name ONDIVAN, its trademarks, logos, domain names, visual identity, website design, software, databases, source code, text, graphics, images, audiovisual content, and all other materials available through the Platform are the exclusive property of Ondivan or are used under valid license.

These materials are protected by applicable copyright, trademark, intellectual property, and other laws in Brazil and internationally.

Nothing in these Terms grants any ownership or license rights except as expressly stated.

24.1. Permitted Use
Without Ondivan's prior written consent, you may not:

  • Copy, reproduce, modify, distribute, publish, sell, resell, license, or commercially exploit any part of the Platform.
  • Use automated tools, including bots, spiders, crawlers, scraping software, or data mining technologies, to access or collect Platform content.
  • Reuse substantial portions of the Platform or its content in any website, application, database, directory, or commercial service.

25 Third-Party Websites

The Platform may contain links to third-party websites or services for your convenience.

These websites are owned and operated independently from Ondivan. We do not control their content, security practices, or services and are therefore not responsible for any information, products, or services they provide.

The inclusion of a third-party link does not constitute an endorsement, partnership, or affiliation with that website or organization.

26 Cancellation and Rescheduling Policy

Clients and Psychologists may cancel or reschedule appointments in accordance with the cancellation policy established by Ondivan.

A 5% administrative fee, based on the session fee, may apply to eligible cancellations or refunds.

For Psychologists:

  • Appointments may be cancelled or rescheduled up to 24 hours before the scheduled session.
  • Cancellations made after this period may be subject to additional fees or penalties, as determined by the Platform.

For Clients:

  • Appointments may be cancelled or rescheduled up to 48 hours before the scheduled session.
  • Cancellations made after this period will be subject to a 5% cancellation fee based on the session value.

For payments made through SEPA Direct Debit or Multibanco, refunds will be processed through Stripe. Applicable payment processing fees charged by Stripe may be deducted from the refund amount in accordance with the payment method used.

Refund processing times may vary depending on the payment method and financial institution involved.

27 Warnings and Account Suspension

Without limiting any other rights available under these Terms, Ondivan may issue warnings or temporarily or permanently suspend a Client's or Psychologist's account if the user:

  • Violates these Terms of Use or the Privacy Policy.
  • Fails to comply with any obligation or restriction established by the Platform.
  • Uses Ondivan's name, logo, trademark, or other intellectual property without authorization.
  • Provides false, misleading, or unverifiable information.
  • Engages in inappropriate, abusive, offensive, or disruptive behavior within the Ondivan community or communication channels.

28 Processing of Personal Data

To provide its services safely and efficiently, Ondivan collects and processes personal information as described in its Privacy Policy.

By using the Platform, Clients and Psychologists acknowledge that their personal information may be processed in accordance with the Privacy Policy and applicable data protection laws.

29 Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable under applicable law, that provision shall be deemed severed from these Terms only to the extent necessary.

The remaining provisions shall remain valid, enforceable, and in full force and effect.

30 Governing Law and Jurisdiction

These Terms of Use shall be governed by the laws of the Federative Republic of Brazil.

Any dispute arising out of or relating to these Terms shall be submitted to the courts of Salvador, Bahia, Brazil, unless otherwise required by applicable law.

Whenever possible, the parties agree to seek an amicable resolution before initiating legal proceedings.
